1. About these terms

These Terms and Conditions ("Terms") govern your use of Elqo, including the Elqo app, website and any related services. Please read them together with our Privacy Policy.

By creating an account or using Elqo, you agree to these Terms. If you do not agree, do not use Elqo.

2. Who we are

Elqo is operated by ELQO PTY LTD (ABN 30694675459), a company incorporated under the Corporations Act 2001 (Cth) and registered in New South Wales, Australia.

3. Where an organisation provides your access

Many people use Elqo through a school, employer or other organisation.

Where your access is provided under a separate written agreement between us and that organisation, that agreement governs the organisation's use of Elqo and the handling of its data. If that agreement conflicts with these Terms, the agreement prevails for that organisation and its users.

These Terms continue to apply to your individual use of the app to the extent they are not inconsistent with that agreement.

4. Eligibility and age

You must be at least 16 years old to create an Elqo account yourself.

If you are under 16, you may use Elqo only where a school or organisation has authorised your access and has obtained any consent required from your parent or guardian. Schools and organisations are responsible for obtaining those consents under their own privacy and duty of care obligations.

We may suspend or close an account if we become aware that it was created in breach of this section.

5. Your account

Tell us promptly at info@elqo.app if you believe your account has been accessed without your authorisation.

6. Subscriptions, trials and payment

Some Elqo features require a paid subscription.

We do not generally provide refunds for a period you have already paid for, except where required by the Australian Consumer Law or where we agree otherwise. Nothing in this section limits your rights under section 13.

We may moderate content, restrict features, or suspend or close accounts where we reasonably believe this section has been breached.

8. Recording and consent

Elqo works by recording and analysing your speech.

When you start a session, you consent to us capturing audio, transcribing it, analysing it, and generating feedback, as described in our Privacy Policy. You can stop a session at any time.

Where visual analysis is available and you turn it on, you also consent to the capture and analysis of video frames during the session. Visual analysis is off by default. Your school or organisation may disable it entirely.

You are responsible for making sure you have the right to record any other person whose voice or image is captured.

9. Our intellectual property

Elqo, including the software, branding, design, prompts, lesson content and educational material, is owned by ELQO PTY LTD or its licensors and is protected by intellectual property laws.

We grant you a personal, non-exclusive, non-transferable, revocable licence to use Elqo for its intended purpose while your account is active. You may not copy, reproduce, distribute, publish or create derivative works from our content without our written permission.

10. Your content

You own your recordings, transcripts and other content you create using Elqo.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display that content solely for the purpose of providing the service to you, and to comply with our legal obligations. This licence ends when your content is deleted, except for copies held in backups until they expire.

We do not use your recordings, transcripts or other content to train AI models, and our AI providers are contractually prohibited from doing so.

We may use aggregated and de-identified data to monitor performance, improve features and maintain safety. Aggregated and de-identified data cannot be used to identify you.

You are responsible for making sure you have the rights to any content you submit.

11. Feedback and suggestions

If you send us feedback or suggestions about Elqo, we may use them without restriction and without any obligation to compensate you or to implement them.

12. Availability, changes and accuracy

We work to keep Elqo available and accurate, but we do not promise that it will be uninterrupted, error free, or that AI-generated feedback will always be accurate or complete.

Feedback in Elqo is a practice aid. It is not an assessment of your ability, and it is not medical, psychological, therapeutic, legal, financial or other professional advice. If you need professional advice, speak to a qualified professional.

We may add, change or remove features. Where a change materially reduces the functionality of a paid subscription, we will give you notice and you may cancel.

13. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law.

Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy you have under the Australian Consumer Law or any other law, to the extent that it cannot lawfully be excluded.

Where our services are not of a kind ordinarily acquired for personal, domestic or household use, our liability for failure to comply with a consumer guarantee is limited, to the extent the law permits, to resupplying the services or paying the cost of having them resupplied.

14. Our liability

Subject to section 13, and to the extent permitted by law:

We do not exclude or limit our liability for fraud, or for death or personal injury caused by our negligence.

15. Suspension and termination

You can stop using Elqo and close your account at any time.

We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we discontinue the service. Where we discontinue the service, we will give reasonable notice and refund any prepaid fees for the unused period.

You can export your data before closing your account. After closure we delete your data as described in our Privacy Policy.

16. Third party services

Elqo relies on third party providers to host the app and to process and analyse audio and text. Those providers handle your data as described in our Privacy Policy.

17. Changes to these Terms

We may update these Terms. Where a change is material, we will give you notice before it takes effect, either in the app or by email. If you continue to use Elqo after the change takes effect, you accept the updated Terms. If you do not accept them, you can close your account.

18. Governing law and jurisdiction

These Terms are governed by the laws of New South Wales, Australia.

You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts able to hear appeals from them. This does not prevent you from bringing proceedings in the courts of the State or Territory in which you are located, and nothing in this section limits any right you have under the Australian Consumer Law to seek a remedy in your own jurisdiction.

19. General

If any part of these Terms is found to be unenforceable, the rest continues to apply.

If we do not enforce a right under these Terms, that does not waive it.

You may not assign your rights under these Terms without our consent. We may assign ours in connection with a sale or restructure of our business.
